Donation Policy

Provided that the Articles of Association, Turkish Commercial Code, regulations of the Capital Markets Board are complied with, the provisions of the capital market legislation governing disguised profit transfer are not breached, and the necessary material event disclosures are made, and donations made within the year are submitted to the shareholders during the General Assembly, the Company may make donations to associations, societies and funds and other entities and organizations incorporated for various purposes. The upper limit of the donations to be made must be determined by the General Assembly, and donations exceeding this limit cannot be distributed. The Capital Markets Board is authorized to impose an upper limit on the amount of donations. However, the donation amount to be made within a year cannot exceed four per thousand of the Company's equity amount in the annual accounting period in which the donation is made.
The donation policy is submitted to the approval of the General Assembly. In line with the policy approved by the General Assembly, the shareholders are informed about the amount and beneficiaries of all donations and aids made during the period, as well as policy changes, with a separate agenda item at the General Assembly meeting.
